LLB with 14 years of relevant experience and 5 years of Bar enrollment. Candidates having LLM will be preferred. Postgraduate diploma / diploma in corporate law will be considered an additional advantage. Responsibilities : JOB SUMMARY The key purpose of the position involves carrying out activities required to ensure that the contracts entered into by the company are prepared in a way that protects the interests of the company and that unnecessary litigation is avoided. Ensure adherence to corporate bylaws, charter and other government documents. The position is also responsible for providing timely professional legal advice and opinions as required by the user departments of SSGC. JOB RESPONSIBILITIES Undertake vetting and review of agreements / contracts including but not limited to service level agreements, both upstream and downstream gas sale and purchase agreements, and contracts of procured services that are governed by the Public Procurement Regulatory Authority Rules. Ensure that the agreements serve the interests of the company. Highlight to the management the terms that could be detrimental for SSGC and remove or change the same as the case may be. Get updated on amendments to laws, rules, and regulations made by federal, provincial, and other statutory bodies, evaluate their probable effect on SSGC operations and contracts, and raise recommendations to address legal implications. Study drafts of impending legislation and assist in evaluating their impact on SSGC, suggesting strategies accordingly. Coordinate with various departments to resolve issues related to contract drafting or execution. Review and finalize draft contracts, MoUs, and non-disclosure agreements. Review revisions to existing contracts for legal implications and safeguard the company's interests. Review tenancy and lease agreements and provide feedback. Study court decisions on legal issues, evaluate their impact on the company, and discuss options with superiors. Coordinate with external law firms for legal opinions and ensure their requirements are met. Participate in negotiations for gas sale agreements with exploration & production companies, ensuring legal compliance. Provide legal opinions and guidance on issues raised by user departments. Represent SSGC at government and legal forums on legislative matters. Assist legal counsel in managing lawsuits involving the company. Attend court hearings as appropriate. Support junior legal staff in drafting and responses. Identify, assess, and develop responses to legal risks. Ensure timely and accurate reporting of legal risks.
